Areas of Practice
We are experienced in general commercial real estate. We represent buyers, sellers, lenders, landlords and tenants at all stages of their transactions. We represent lending institutions and borrowers in connection with all aspects of secured and unsecured loan transactions including construction and permanent mortgage loans, multi-asset and multi-state transactions, and franchise banking.
We also represent developers and land owners in the areas of environmental regulation, land planning, and zoning. We are very familiar with the Development of Regional Impact process having obtained binding letters, development orders, and development order modifications for many of this region's largest developments. Our firm has worked extensively with the Army Corps of Engineers, the Florida Department of Environmental Protection and the St. Johns River Water Management District. We have actively participated in the Comprehensive Planning, Concurrency and Land Development Regulation process in North Florida Counties, which has given us the substantive and procedural knowledge required to effectively represent clients in the land use area.
We are well versed in condominium law, planned unit developments, and residential and mixed use projects, including the initial structuring of projects and restructuring of previously established projects to provide a viable community package. Our condominium experience includes conversions, time-shares and fee simple ownerships for commercial, phased, multi-association, marina, and single family residential projects. We are also familiar with the land sales registration process at both the state and federal levels and have registered major Florida projects for sale in Florida and in other states. An additional outgrowth of our development practice has been involvement with all facets of water and sewer utility systems and cable television operations, including franchising, purchase and sale of operating systems, and negotiation of complex service agreements.
Our clients in the real estate area rely on us to work closely with them, the land planners and engineers from the initial regulatory approval process, through construction and development planning and financing, to the final stages of residential and commercial sale and leasing transactions. Our extensive on-going involvement with major development projects enables us to stay abreast of the growing body of laws and regulations affecting land development.
In the area of general business law and corporations, we advise business clients with respect to such matters as corporate and partnership organization and general commercial transactions. Our expertise in the general commercial context ranges from incorporations or organization of partnerships, to highly involved and sophisticated transactions, such as the acquisition and sale of businesses, documentation of varied contractual relationships, and the negotiation and structuring of development entities and partnership agreements for complex real estate ventures.
We provide representation in a broad range of litigation matters including land use disputes, foreclosure actions, mechanics' liens claims, representation of creditors in bankruptcy proceedings, restrictive covenant enforcement, condominium disputes, construction disputes, ad valorem tax challenges, and general collections. Our firm also offers mediation services at the county and circuit court levels.
